Rashi Peripherals moves beyond distribution with VDA Infosolutions acquisition

The company will acquire a 67 percent stake in VDA Infosolutions as it expands into enterprise technology solutions, digital infrastructure and managed services.

Rashi Peripherals (RP Tech) is moving beyond its traditional distribution business with the acquisition of a controlling stake in enterprise technology and digital infrastructure solutions provider VDA Infosolutions.

The company has entered into a binding agreement to acquire an upfront 67 percent stake in VDA Infosolutions for a cash consideration of INR 3.68 billion.

The transaction values VDA at an equity valuation of INR 5.5 billion and marks a significant strategic shift for RP Tech as it expands further into enterprise technology services.

The acquisition comes at a time when enterprise spending on AI infrastructure, cloud platforms, cybersecurity and data centre technologies continues to accelerate across India. By bringing VDA into its portfolio, RP Tech is looking to strengthen its position in these fast-growing segments while expanding beyond product distribution into solution deployment, system integration and managed services.

With FY26 revenue of INR 158 billion, RP Tech is one of India's largest ICT distributors, serving over 10,300 channel partners through a nationwide network of 56 branches, 50 service centres and 71 warehouses.

The company said the acquisition will help it deliver a broader portfolio of enterprise technology capabilities and create a more integrated engagement model for enterprise customers.

Expand into enterprise infrastructure and services

Founded in 2010, VDA Infosolutions has built a strong presence in the enterprise technology and digital infrastructure market. The company reported revenue of approximately INR 8.5 billion in FY26 and operates across major cities including Mumbai, Pune, Delhi, Chennai, Bengaluru, Kolkata, Hyderabad and Ahmedabad.

VDA provides solutions across cloud infrastructure, cybersecurity, data protection, virtualisation, storage and infrastructure modernisation. The company also offers IT consulting, DevOps, managed services and infrastructure transformation capabilities.

Its customer base spans multiple industry sectors and is supported by a workforce of over 1,000 professionals deployed across over 140 service touchpoints nationwide.

The company is also an authorised partner for vendors including IBM, Dell Technologies, Broadcom, Cisco, Palo Alto Networks, Red Hat, Nutanix and Check Point.

According to RP Tech, VDA's deep technical expertise and enterprise delivery capabilities will complement its existing strengths in distribution, channel reach and OEM relationships.

Rashi Peripherals’ managing director, Kapal Pansari, said the transaction represents an important step in strengthening the company's enterprise business.

He said VDA's expertise in enterprise technology and digital infrastructure, combined with its capabilities across AI, cybersecurity, cloud infrastructure and data protection, will enhance RP Tech's ability to support enterprise customers with more advanced solutions.

The acquisition also brings a recurring-revenue services business into RP Tech's portfolio, an area that is becoming important as customers seek long-term technology partnerships rather than standalone product purchases.

Positioning for AI and digital infrastructure growth

RP Tech said the acquisition will allow it to capitalise on growing demand for AI-enabled IT environments, enterprise cloud infrastructure, cybersecurity solutions, advanced data centre technologies and hybrid managed services.

Industry spending trends support this strategy. According to Gartner estimates cited in the announcement, India's overall IT spending is expected to reach nearly USD 176 billion in 2026. The broader digital infrastructure market is projected to grow to USD 133 billion by 2035, creating significant opportunities for technology providers and partners.

VDA's founders described the partnership as an opportunity to accelerate growth in AI, digital transformation and enterprise technology services.

The combined organisation will bring together RP Tech's distribution scale, OEM ecosystem and financial strength with VDA's technical expertise, system integration capabilities and managed services portfolio.

For RP Tech, the transaction signals a broader evolution from a value-added ICT distributor to a fully integrated technology solutions and services company. The move enables the company to participate across the entire enterprise technology lifecycle, from product procurement and distribution to architecture design, deployment and ongoing managed services.
